Associate General Counsel is responsible for ensuring an organization's compliance with relevant laws and regulations. Develops and reviews an organization's policies, practices, and guidelines. Being an Associate General Counsel assists in protecting an organization's legal interest and maintaining its operations within the scope established by law. Provides counsel to senior leadership. Additionally, Associate General Counsel identifies and analyzes legal issues, drafts key documents, presents clear recommendations to top management, and assures legal compliance. Assists or represents the organization in business negotiations. Requires a JD. Requires State Bar membership. Typically reports to top legal executive. The Associate General Counsel manages a departmental function within a broader corporate function. Develops major goals to support broad functional objectives. Approves policies developed within various sub-functions and departments. To be an Associate General Counsel typically requires 8+ years of managerial experience. MARSHALLTOWN Company has an opportunity for an attorney to work as our lead General Counsel at the Marshalltown, Iowa facility.
Specific Responsibilities Include:
- Draft or review contracts and other legal documents or correspondence
- Oversee and collaborate with outside counsel on trademarks, patents, product liability and other legal matters
- Review and research potential acquisition candidates
- Write documents for acquisitions and work with the team to develop the plan to onboard the new company and then help implement it
- Work closely with Human Resources regarding labor and employment law and government compliance
- Maintain records required for legal matters and projects
- Maintain corporate and shareholder records to support corporate activity
- Draft correspondence related to shareholder activity
- Routinely handle confidential work for the President and other executive management
Qualifications of the Position Include:
- Juris Doctorate and 10 years of experience in employment law, litigation, intellectual property, product liability, and government compliance
- Excellent interpersonal (verbal and written) communication skills
- Highly skilled at writing business and legal documents
- Decision-making, problem-solving, and analytical skills
- High attention to detail
- Organizational, multi-tasking, and prioritizing skills
