Position Overview:

Fractal Networks is seeking an in-house General Counsel to provide strategic legal advice and ensure that our business operations are conducted in compliance with applicable laws and regulations. The ideal candidate will be able to demonstrate a strong knowledge and understanding of corporate law, contract negotiation, intellectual property, and regulatory compliance within the tech industry.

Responsibilities:

• Provide legal counsel and guidance to executive leadership on a broad range of legal issues impacting the company’s operations and strategic objectives.
• Draft, review, and negotiate a variety of commercial agreements, including vendor contracts, licensing agreements, and partnership agreements.
• Manage and oversee all aspects of corporate governance, including compliance with state and federal regulations, board governance, and corporate policies.
• Develop and implement policies and procedures to ensure compliance with data protection and privacy laws, including GDPR and CCPA.
• Provide guidance and support on intellectual property matters, including trademark registration, patent applications, and protection of proprietary information.
• Remain informed of changes in relevant laws and regulations affecting the tech industry and communicate potential impacts to the executive team.
• Conduct legal research and provide recommendations on emerging legal issues and best practices.

Qualifications:

• Juris Doctor (JD) degree from an accredited law school and admission to the Mississippi Bar.
• Strong understanding of contract law, intellectual property law, and regulatory compliance.
• Excellent written and verbal communication skills, with the ability to effectively communicate complex legal concepts to non-legal stakeholders.
• Proven ability to work collaboratively in a dynamic environment and effectively manage multiple priorities.
• High level of integrity and professionalism, with a commitment to upholding ethical standards and confidentiality.
