Associate General Counsel is responsible for ensuring an organization's compliance with relevant laws and regulations. Develops and reviews an organization's policies, practices, and guidelines. Being an Associate General Counsel assists in protecting an organization's legal interest and maintaining its operations within the scope established by law. Provides counsel to senior leadership. Additionally, Associate General Counsel identifies and analyzes legal issues, drafts key documents, presents clear recommendations to top management, and assures legal compliance. Assists or represents the organization in business negotiations. Requires a JD. Requires State Bar membership. Typically reports to top legal executive. The Associate General Counsel manages a departmental function within a broader corporate function. Develops major goals to support broad functional objectives. Approves policies developed within various sub-functions and departments. To be an Associate General Counsel typically requires 8+ years of managerial experience.     The Senior Associate General Counsel provides a wide range of legal services for Yale New Haven Health System and its affiliates (YNHH). The Senior Associate General Counsel must be able to lead strategic initiatives in partnership with business counterparts, work autonomously, and as a collaborative team member in the Legal & Risk Services Department.

    Responsibilities

    • 1. Provides day to day legal advice to YNHH leadership and executives on issues related to the operation and management of healthcare providers within YNHH, including, but not limited to:
      • 1.1. Medical staff
      • 1.2. Professional services and employment agreements with physicians
      • 1.3. Medicare reimbursement issues
      • 1.4. Management services and other compliance arrangements
      • 1.5. Fraud and abuse
      • 1.6. Stark Law
      • 1.7. HIPAA/HITECH
      • 1.8. Contracts and leases
      • 1.9. Corporate governance
      • 1.10. Research and grant contracts and issues
      • 1.11. Tax exemption matters
      • 1.12. Licensing and regulatory issues
      • 1.13. Patient care related issues
      • 1.14. Responses to governmental investigations
      • 1.15. Antitrust issues
      • 1.16. Joint ventures (with physicians and others)
      • 1.17. Asset purchases and other significant transactions
    • 2. Provide legal advice affecting the development and implementation of strategic initiatives and business operations.
    • 3. Selects and retains outside counsel as needed, and manages legal expenses in subject matter areas of responsibility.
    • 4. Identifies critical legal risk exposure matters.
    • 5. Assists with or direct supervision of Department paralegals.
    • 6. Performs other duties as requested by Senior Vice President, Legal Services

    Qualifications

    EDUCATION

     

    Juris Doctor from an accredited law school.

     

    EXPERIENCE

     

    At least fifteen years of experience in corporate health care practice required. Some portion of that time in a healthcare setting is preferred.

     

    LICENSURE

     

    Current admission to the Connecticut Bar (as Authorized House Counsel or otherwise) or ability to waive in or achieve bar membership in a timely fashion.

Excellent written and oral communication skills, including timely and effective advice to leadership, executives and other relevant stakeholders. Ability to independently conduct legal research and provide legal advice. Ability to work in a fast paced and challenging environment. Autonomously manages a high volume and complex workload within subject matter areas of expertise. Demonstrated excellent interpersonal, organizational, and customer services skills. Ability to handle stressful situations with a calm demeanor and be flexible. Capable of exercising good judgment and decision-making skills. Demonstrated ability to issue spot and escalate issues as identified. Interacts with other Legal & Risk Services personnel to ensure that legal services are provided to YNHH in a timely, practical and cost effective manner consistent with the mission and values of the organization. Demonstrates a spirit of teamwork, offering positive and constructive ideas, encouragement and support to other members of the Legal & Risk Services Department. Able to effectively supervise the development and oversee work product of the Department's more junior professional staff. Capable of leading strategic initiatives.
