Associate General Counsel is responsible for ensuring an organization's compliance with relevant laws and regulations. Develops and reviews an organization's policies, practices, and guidelines. Being an Associate General Counsel assists in protecting an organization's legal interest and maintaining its operations within the scope established by law. Provides counsel to senior leadership. Additionally, Associate General Counsel identifies and analyzes legal issues, drafts key documents, presents clear recommendations to top management, and assures legal compliance. Assists or represents the organization in business negotiations. Requires a JD. Requires State Bar membership. Typically reports to top legal executive. The Associate General Counsel manages a departmental function within a broader corporate function. Develops major goals to support broad functional objectives. Approves policies developed within various sub-functions and departments. To be an Associate General Counsel typically requires 8+ years of managerial experience. JOB PURPOSE: We are seeking a experienced Associate General Counsel to lead our legal / compliance department and serve as a trusted advisor to our executive team.
RESPONSIBILITIES
- Provide comprehensive legal advice and counsel to the CEO, executive team on a broad range of matters, including corporate governance, contracts, intellectual property, regulatory compliance, employment law and litigation.
- Lead the in-house legal / compliance team, including managing workload, mentoring associates, and ensuring the efficient and effective delivery of legal services.
- Develop and implement strategic legal initiatives that align with the company?s overall business goals.
- Oversee all legal aspects of capital markets, mergers and acquisitions, divestitures, and other significant business transactions.
- Manage outside counsel relationships and ensure cost-effective legal representation.
- Stay abreast of current legal developments and industry trends that may impact the company?s operations.
- Proactively identify and mitigate legal risks.
- Foster a strong culture of ethics and compliance within the company.
- Represent the company in legal matters as needed.
