    Position
    Description: We are seeking a corporate counsel to join our team as our first in-house attorney and to play a crucial role in providing comprehensive legal support across the organization. This will be part-time, dedicating about 20 hours per week, with a flexible schedule. We are looking for an attorney to support our sales efforts and work on a range of legal issues, including compliance, data security, and intellectual property. The ideal candidate can operate independently and take ownership of projects as a solutions-oriented business partner in a rapid-growth environment. This individual will work closely with various departments, including Sales, Engineering, Product, and Human Resources, to support our mission of serving the philanthropic community.

    Key Responsibilities:
    • Review, draft, and negotiate customer sales contracts and vendor contracts.
    • Drive ongoing enhancements of contract templates, forms, policies, and processes to streamline and simplify deals and product/service terms.
    • Draft NDAs, EULAs, privacy policies, data policies, terms of use and terms of service, while ensuring compliance with data protection laws, including CPRA.
    • Provide counsel and advice to internal stakeholders, offering strategic guidance on legal and regulatory implications of company initiatives and new product development.
    • Develop and implement strategies for preventing data breaches and managing incidents, in collaboration with IT and cybersecurity teams.
    • Provide labor/employment law advice to HR and assist in drafting and administration of company policies and agreements such as commissions, conflicts of interest, employee time off, purchasing, data protection etc.
    • Partner with business leaders on issues arising in mergers and acquisitions. Perform due diligence and review documents.
    • Manage relationships and oversee the work of outside counsel, ensuring quality and cost-effectiveness of external legal services.


    Qualifications:
    • US licensed attorney in good standing.
    • 10 years relevant legal experience.
    • Prior in-house experience in the software technology sector and with data protection agreements is strongly preferred.
    • Experience drafting, reviewing, and negotiating commercial agreements with a solution-oriented approach.
    • Excellent negotiation, communication, and drafting skills.
    • Proven ability to work independently and as part of a team, managing multiple priorities in a fast-paced environment.
