Corporate Secretary executes and maintains all required official corporate filings, documents, reports and records according to applicable laws and regulations. Responsible for shareholder relations, communicating with Board members and coordinating shareholder lists and registrations. Being a Corporate Secretary researches and responds to shareholder requests for information. Manages the coordination of Board and shareholder meetings and the preparation of all necessary agendas and documents required for the meetings. Additionally, Corporate Secretary the incumbent in this role is usually an officer of the corporation. May require a Juris Doctor degree. Typically reports to top management. The Corporate Secretary manages a departmental function within a broader corporate function. Develops major goals to support broad functional objectives. Approves policies developed within various sub-functions and departments. Comprehensive knowledge of the overall departmental function.     This position can sit in our Minneapolis or Chicago office and offers a hybrid work schedule.


    The role will be part of our Paralegal Team. The Paralegal Team performs a wide range of substantive corporate filings, case, matter, and entity-related duties by supporting our attorneys, clients, outside legal counsel, opposing legal counsel, and vendors.

    Minimum Requirements:

    • High School or GED
    • 1 year of demonstrated success working in a fast-paced environment
    • Must demonstrate a basic level of proficiency in Word
    • Strong communication and interpersonal skills to interact with paralegals, attorneys, and clients regularly
    • Excellent organizational and attention-to-detail skills to manage volumes of documents, binders, letters, charts, etc.
    • Ability to work effectively in a fast-paced environment
    • Ability to prioritize multiple assignments to meet deadlines


    Preferred Requirements:

    • Undergraduate degree and/or a paralegal certificate is highly preferred
    • 1 year of experience in a law firm supporting paralegals and/or attorneys
    • Experience supporting a corporate practice group
    • Excellent organizational skills and attention-to-detail
    • Managing and running projects
    • Be able to take initiative and engage with projects
    • Proficient in MS Outlook, MS Excel, and PowerPoint 
    • Database experience
    • Collecting signatures/ DocuSign
    • Notary/ Apostilles
    • Drafting/ Closing sets
    • Filings/ DE and other states Formations


    What will your day look like?
    You will support the corporate team on ongoing transactions. You will assist with managing and maintaining electronic data rooms, make corporate filings, prepare closing books, draft simple ancillary documents (with precedent support) and provide general transactional support on ongoing transactions. You will also assist with liaising with local and international teams, collecting signatures, DocuSign, and obtain documents and other information from cities, municipalities, or public agencies.

    Physical Demands, Work Environment, and Other Requirements 
    Sedentary work: Exerting up to 10 pounds of force occasionally and/or a negligible amount of force frequently or constantly to lift, carry, push, pull or otherwise move objects, including the human body. Sedentary work involves sitting most of the time. Jobs are sedentary if walking and standing are required only occasionally, and all other sedentary criteria are met.
