    BRIEF POSTING DESCRIPTION:

    The P 2W VP LEGAL Department of the P VP LEGAL Division at Hawaiian Electric Company has 1 Management vacancy available. (Role: Professional)


    JOB FUNCTION:

    Advises and works on corporate governance matters; manages board of directors’ meetings for Hawaiian Electric, Maui Electric, and Hawaii Electric Light (“the Companies” or “Company”); and other matters affecting directors; supports the corporate secretary function and oversees litigation. Provides in-house legal services and monitors work assigned to outside counsel.


    ESSENTIAL FUNCTIONS:

          • Advises and works on corporate governance matters in support of the Companies; manages board of directors’ and committee meetings (e.g., preparation of board/committee materials, resolutions, and minutes), communication with the Board, and other matters affecting directors, including director education and training; and provides support to the corporate secretary function.

    Manages and develops corporate governance documents (e.g., article amendments, bylaws, written consents, stock certificates, shareholder lists, etc.).


          • Provides legal services to the Companies, including evaluation of complex legal issues and assessment of risk, in a wide range of areas, including, but not limited to, business and corporate law, litigation and regulatory matters, corporate governance, securities, finance, contracts and litigation.

    Oversees litigation involving directors and assist with corporate transactions.

    Develops companies’ policies, procedures, and strategies, as appropriate.

    Directs and manages work of outside attorneys, ensuring cost-effective and quality legal services are provided to the Company.

    Directs, provides guidance to and monitors work of Legal Department Legal Assistants.

    Develops and assists with implementing legal training and other educational programs for Company employees with respect to laws, legal trends, cases and policies pertinent to the Company.


          • Participates as a legal adviser on task forces, committees and special projects, providing creative problem-solving and strategic direction as appropriate. Effectively communicate with senior management on complex legal issues and risks, including preparing and delivering presentations. Advocates for the Companies’ positions externally.
          • Provide such other services as attorney’s abilities, education, and experiences enable attorney to perform.
          • As assigned, participates as member of Company Incident Management Teams (or similar team), or provides support to same as needed, including any activities required to prepare for incident and emergency response.

    BASIC QUALIFICATIONS:

    Knowledge Requirements

    • Law degree, membership in the Hawaii State Bar Association and license to practice law in Hawaii (license to practice law and in good standing in another state will suffice pending admission to Hawaii bar within one year).
    • Thorough knowledge in corporate and business law, with preferably strong familiarity in corporate governance and corporate secretary processes and some familiarity in securities regulation.
    • Broad knowledge of energy law and/or law applicable to one or more specialized practice areas listed in job requirements.
    • General knowledge and familiarity with the other legal areas listed in the job requirements.
