TITLE: CORPORATE & TRANSACTIONAL ASSOCIATE ATTORNEY

Position Overview:

We are seeking a highly motivated and experienced Associate Attorney to join our corporate and transactional team. The ideal candidate will have a minimum of 3 years of relevant experience and a strong background in corporate law, mergers and acquisitions, and transactional matters.

Responsibilities:

1. Client Counseling: Provide legal advice and strategic guidance to clients on a wide range of corporate and transactional matters.
2. Transaction Support: Assist in the negotiation, structuring, and execution of mergers and acquisitions, joint ventures, and other corporate transactions.
3. Document Drafting: Prepare and review legal documents, including contracts, agreements, and corporate governance documents.
4. Due Diligence: Conduct due diligence reviews and assessments to identify potential legal issues and risks.
5. Legal Research: Stay current on relevant legal developments and conduct research to support client matters.
6. Compliance: Ensure clients' compliance with applicable laws, regulations, and industry standards.
7. Client Communication: Maintain regular communication with clients to provide updates on matters and address any concerns.
8. Collaboration: Work collaboratively with partners and team members to deliver high-quality legal services and meet client expectations.

Qualifications:

1. Juris Doctor (JD) degree from an accredited law school.
2. Active bar membership in good standing in NJ, NY or PA.
3. Minimum of 3 years of experience in corporate and transactional law experience in a reputable law firm.
4. Strong analytical, research, and problem-solving skills.
5. Excellent written and verbal communication skills.
6. Ability to work independently and as part of a team.
7. Attention to detail and a commitment to delivering high-quality work.
8. Strong organizational and time management skills.
