Financial Associate (Public) gathers and interprets financial data and coordinates the process for the origination of debt securities used to finance public projects for housing, utilities or other municipal initiatives. Develops estimates of services and completes a comprehensive analysis of project, including bond ratings and insurance. Being a Financial Associate (Public) collaborates with public officials in analyzing the necessary bond and cash flow reports that are associated with the projects. Starts the offering process and may make recommendations to interested investors. Additionally, Financial Associate (Public) coordinates preparation of all offering documents. Manages the bond issuance process and assists with the offering. Depending on the size and level of project, responsibility may vary. May manage the entire project or only a portion of the deal. Requires a bachelor's degree of Finance. Typically reports to a manager or head of a unit/department. The Financial Associate (Public) works on projects/matters of limited complexity in a support role. Work is closely managed.     Job Description:

    Sands Anderson PC has an opening in the Richmond, VA office for a public finance associate with 1-4 years of experience. This position will include public finance matters involving state and local entities and nonprofits, primarily in Virginia and North Carolina: tax-exempt and taxable municipal bonds, including public offerings and direct purchases, and commercial loans to finance public infrastructure, economic development projects and other capital improvement projects; nonprofit health care, higher education, education, cultural, and other facilities. Engagements include services as bond counsel, underwriter’s counsel, disclosure counsel, issuer counsel and purchaser’s/lender’s counsel. Practice may include economic development and other local government matters related to finance and capital projects.

    Duties & Responsibilities:

    • Collaborate with senior attorneys and clients to ensure smooth transitions and continuity of operations in our public finance team.
    • Conduct legal research and analysis to identify applicable laws, regulations, and industry best practices related to public finance.
    • Draft and review legal documents, including bond indentures, resolutions, contracts, and other related agreements.
    • Advise clients on tax-exempt financing, tax law implications, and compliance requirements.
    • Assess and manage risks associated with public finance transactions.
    • Assist in negotiating and structuring complex financing transactions, including bond issuances, refinancing, and debt restructuring.
    • Provide legal counsel on governance matters, policies, and procedures to support effective succession planning.
    • Stay updated on industry trends, legislative changes, and regulatory developments related to public finance.
    • Build and maintain strong relationships with clients, advising them on legal strategies and providing exceptional client service.
    • Collaborate with cross-functional teams within the firm to support the overall success of client engagements.

    Job Requirements:

    • Juris Doctor (J.D.) degree from an accredited law school and admission to the Virginia State Bar.
    • Minimum of 2 years of relevant experience in public finance laws
    • Strong knowledge of federal, state, and local laws, regulations, and tax implications related to public finance.
    • Demonstrated understanding of complex financial transactions and bond issuances.
    • Excellent analytical, research, and problem-solving skills.
    • Detail-oriented with exceptional organizational and time management abilities.
    • Effective communication skills, both written and verbal, to articulate complex legal concepts to clients and colleagues.
    • Proactive mindset and ability to work independently as well as collaboratively in a team-oriented environment.
    • Strong work ethic and commitment to delivering high-quality work product.
