LEGAL COUNSE (f/m/d)

General Legal responsibilities
- Business partnering with internal stakeholders on all necessary legal projects and tasks as well as utilizing external specialist law firms
- Negotiations with external stakeholders and involved partners.
- Provide interpretation of existing agreements and legal advice to various internal departments including management, BD, manufacturing supply and commercial teams
- Keeping track on all kind of necessary deadlines and dates of legal topics and projects
- Cooperation with compliance and data privacy department
- Advise on and/or partnering with outsource legal advice for countries/regions outside of Norway/Europe (e.g., Asia, Australia, Middle East, Africa, Latin America, etc.) being point of contact to outside counsels, including instructing and following up on outside counsels, providing background information regarding new agreements, participating in meetings with outside counsels, review and approval of invoices
- contract lifecycle management: uploading and approving agreements for repository of LinkSquares database, generating agreements from templates and reviewing agreements in LinkSquares
Corporate legal responsibilities
- Review and assessment of agreements in due diligences of 3rd party assets working closely with corporate functions
- Drafting of agreement templates, term sheets and agreements
- Provide overview of agreements and answering agreement-related questions in due diligences
- Draft and finalize ASA mutual confidentiality agreements (mCDAs)
- Keep track of expiring mCDAs and alert Corporate Development in order to either discontinue or extend the mCDAs
- Draft, help negotiate, and finalize Term Sheets for new partners (commercial or medical collaborations with biopharma; equipment manufacturers, distributors)
- Draft, help negotiate, and finalize Definitive Agreements
- Provide legal advice on partner agreements and/or disputes (e.g., with distributors, biopharma, biomarker companies, device manufacturers)
- Draft, help negotiate, and finalize DA amendments
- Participate in ad hoc internal & external meetings about existing or potential partners to provide legal perspective
- Advise internal teams on Norwegian biopharmaceutical / medtech legal matters to be considered with ASA or INC agreements
- Partner with US and Canadian outside legal counsel on business development initiatives
Candidate profile
- Law degree from an accredited law school
- Working knowledge of laws, guidelines, regulations relating to listed companies in Norway
- Prior in-house experience as a member of a legal department for a Norwegian listed company
- 5 plus years legal working experience either in house or a legal firm servicing clients.
- Ideally prior experience of working or closely supporting a pharmaceutical company
- Experience in providing legal due diligence support to M&A and Licensing functions
