The Director of Finance, Mergers & Acquisitions will be a senior member of the ACR Commercial team and will have a matrix reporting relationship into the Finance team (CFO). The role will be responsible for leading and executing the complete range of activities related to acquisition target identification and evaluation, including sourcing, financial and other due diligence, thesis development, valuation analysis and transaction structuring transaction execution, and integration planning.
GENERAL DUTIES AND RESPONSIBILITIES:
- Support the Chief Commercial Officer (CCO) and Corporate Development team’s efforts to develop and maintain the M&A target pipeline.
- Establish and maintain relationships with investment banks, business brokers and other sources to identify and qualify new targets. Gather, evaluate, and analyze relevant industry, business, and financial
- Prepare initial valuation structure and
- Draft indications of interest (IOIs) and/or letters of intent (LOIs), including valuation, transaction structure, and key terms and conditions.
- Manage acquisition/investment thesis development process, including strategic rationale, key considerations, etc.
- Independently advance discussions with targets as directed by the CCO and Corporate Development team.
- Develop financial and operating models with historical and projected income statements, balance sheets, EBITDA, free cash flows, synergies and risks, discounted cash flow, NPV and payback
- Assist financial sponsor with development of acquisition financing and
- Collaborate with cross-functional teams to build internal buy-in, data requests, facilitate information sharing, manage due diligence, aggregate financial / operating model inputs.
- Serve as internal deal/transaction process “quarterback,” ensuring the Company hits any internal and external process deadlines and gets the appropriate management, board, and financial sponsor buy-in/approval as needed.
- Review CIMs or other target information as available. Analyze and explain target’s business model, historical and projected financial information, and document alignment with ACR commercial, operational, and financial
- Prepare executive presentations in support of internal (executive leadership) and external (Board of Director’s ownership) review and approval cycles.
- Design and stand-up interim and future-state operating model for the Finance function.
- Work closely with ACR functional counterparts to develop and orchestrate plans for impactful integration execution and business case realization, while proactively navigating challenges as they arise.
- Support management integration activities for 90 days post-closing.

MINIMUM REQUIREMENTS:
- In-depth knowledge, detailed understanding, and first-hand experience with transaction structures, general and purchase accounting, financial and tax due diligence, as well as standard valuation concepts, including discounted cash flow publicly traded comparables, precedent M&A transactions, etc.
- Direct experience managing or helping manage M&A transactions, including but not limited to understanding and executing against key process deadlines, creation of process documents (e.g., IOI/LOI, purchase agreement, ).
- Demonstrated ability to identify and articulate key commercial and operational drivers of value and develop and articulate investment/acquisition
- Excellent financial modeling and analysis skills supported by expertise in
