The law firm of Carnahan Evans PC is seeking an experienced Probate and Corporate/Transactional Paralegal. Must have 3 years of experience. Successful candidates will have superior oral and written communication skills and ability to communicate with clients, financial institutions, and others professionally. Must be self-motivated with strong organizational and time management skills with attention to detail. Proficiency with Microsoft Word and Excel a must.

Probate duties to include:

• Handling probate matters from beginning to end, to include the preparation and filing of necessary court documents, management of court filings, preparation of correspondence to parties, asset gathering, fiduciary accountings, and meeting deadlines.

Corporate/Transactional duties to include:

• Preparing of ancillary legal documents in all aspects of corporate transactional law including entity formation and reorganization, merger, acquisition, stock sale, asset sale, and shareholder buy-out.
• Preparing and filing formation documents for all types of corporate entities including charter documents, organizational consents, bylaws, company agreements, partnership agreements, obtaining EIN’s and qualification in applicable state jurisdictions.
• Monitoring and reviewing transactional documents for the purpose of preparing and updating the closing checklist to track status of transactional documents and the progression of the transaction.
• Working on post-closing matters such as the transfer of permits and licenses, preparing and organizing closing documents and binders for distribution to all parties.
• Maintaining and updating client corporate minutes books including stock certificates, stock ledgers, annual consents, curative consents, etc.
• Providing support services to attorneys in the handling of commercial and 1031 real estate closings (purchase and sale agreement to closing and post-closing).
• Reviewing of chain of titles/legal descriptions to determine property ownership, easements, and liens.
• Preparing conveyance documents, title curative documents, loan documentation, disbursements and closing binders.
