Position Overview
Director of Venue Contracting is responsible for managing the contract process and activities, including the preparing, analyzing, negotiation and interpretation of all domestic and Canadian hotel venue contracts. This position reports to the VP & General Counsel.
Key Job Responsibilities
Contracting
• Collaborate with the U.S. and Canada Hotel venue sales team to draft and review hotel long-term and short-term venue contracts.
• Responsible for drafting and negotiating contract provisions.
• Implement and manage processes for continuous improvement in efficiency and timeliness.
• Manage and update contract templates to reflect current business needs.
• Ensure proper processing, filing and organization of executed contracts.
• Provide advice and counsel under direction of General Counsel with respect to contract provisions.
• Facilitate the contract approval process to ensure alignment with contract management plans and compliance requirements.
• Manage MSA roll-out of underlying agreements including preparation and execution of MSAs and underlying agreements.
• Manage the organization and maintenance of legal department files, both electronic and paper (contracts, corporate records, IP records, etc.).
Database Management
• Ensure the accuracy of key contract terms in Encore’s contract management system (Compass).
• Prepare reports as needed for venue agreements, chains, ownership, and management groups.
• Prepare reports as needed for senior management, finance and operations with respect to key terms in venue agreements.
Contract/Commission Compliance
• Audit credited commissions to hotels by validating that commissions are properly set up in Encore’s order generation system (Navigator) and are consistent with hotel contract provisions.
• Manage quarterly commission reviews for accounting, by venue salesperson, of modeled revenue and financial terms of executed hotel contracts to ensure commissions are paid in compliance with contract provisions.
• Support internal and external stakeholders with contract related information.
Job Qualifications
•Bachelor’s degree in Business or related field of study
• 12 years’ experience in contract drafting, negotiating and legal training
