The Role:
The Corporate Attorney will serve as the subject expert with significant experience in SEC, NYSE, and corporate law requirements, filings, governance, and board matters.Job Responsibilities:The successful candidate will be responsible for enabling organizational performance by leveraging world-class legal principles in the areas of securities law and corporate governance. Responsibilities include, but are not limited to:Provide legal counsel in the areas of securities and corporate law, with a focus on compliance with the Securities Exchange Act, the Securities Act, and related legal requirementsAccountable for securities law and SEC reporting / compliance matters, including earnings press releases, insider trading, periodic reports, Section 16 reporting, proxy statements and annual reports, disclosure advice, Regulation FD and use of non-GAAP financial measures, investor relations, corporate finance, treasury, and communications supportResponsible for the preparation and filing of 10-K, 10-Q, 8-K, and Proxy statementsOversee the stock transactions of the Company’s insiders for compliance with Section 16, Rule 144, and NYSE regulationsSubject matter expertise and support on executive compensation and broad-based equity compensation matters, including equity compensation plans, cash incentive plans, compensation, governance policies, equity grants, 10b5-1 plans, and related equity mattersMaintain liaison with Company’s transfer agent concerning activities, such as the annual meeting of shareholders, dividends, exercise of options, and transfer of performance share awards and restricted stock unitsSupport Board of Directors activities, including assisting with the preparation of Board and committee materialsRequirements
Juris Doctorate from an ABA-accredited law school with 13 years of experience at a law firm and / or in-house experience with a focus in securities, corporate governance, and corporate financeMember in good standing of the Florida Bar, or ability to register as a Florida in-house counselPreferred Qualifications:Work experience gained at a top law firm, or Fortune 500 in-house legal departmentLaw firm or in-house experience relating to Corporate Secretarial functions, SEC regulations, and commercial transactionsExperience working with Boards of Directors and executive managementDemonstrated expertise in drafting and editing legal documents with superior attention to detailUses complex, coordinated influencing / negotiation strategies, adapted to people, organizations, and / or the situation, e.g. networksHigh energy, self-motivated with a strong work ethic and an ability to thrive in a fast-paced environmentResults oriented, fact-based leader, skilled using structured processes to deliver clearly defined and achievable outcomesRestructures or reengineers organizational processes for a measurable positive impact on a function, division, and / or institutionA clear and effective communicator verbally and in writing, succinct yet flexible in the use of languageThe ability to manage a large number and variety of mission-critical projects, working independently and often in an ambiguous environment utilizing sound and practical business judgment as well as common senseSuperior ethical standards beyond reproachSynthesizes information and facts to draw supported conclusions and insights; demonstrates logic, rationality, and objectivity in drawing conclusions, defining solution options, and decision makingEmbraces a strategic, proactive approach in supporting organizational priorities with identifying, actively pursuing, and closing issues affecting the businessProven ability to lead effective corrective action using disciplined problem-solving methodsBenefits
