Job Summary:
We are seeking a highly organized and detail-oriented experienced securities Paralegal to join our legal team. As a Paralegal, you will provide essential support to our attorneys in securities matters. The ideal candidate will have a strong understanding of law and possess excellent communication and organizational skills.
Candidate will have excellent organizational skills, detail oriented and complete projects timely. Written and verbal communication skills a must with good interpersonal skills.

Candidates should have experience in some or all of the following areas:
· Corporate drafting, including resolutions, consents, minutes, certificates, charters, and bylaws;
· Drafting private placements
· drafting registration statements or Reg A ;
· drafting 10-Ks and 10-Qs;
· assisting with mergers and acquisitions transactions, recapitalizations and/or asset purchase agreements;
· drafting 144 opinions;
· SEC investigations and enforcement;
· Section 16 filings;
· managing equity incentive plans;
· researching FINRA-related issues; and
· public company corporate governance experience
Responsibilities will include:
· Draft resolutions, consents, governing documents, certificates, and minutes;
· Legal support provided to senior attorneys
· Draft and counsel regarding security filings and other related filings (proxy statements, registration statements)
· Draft and prepare materials for Board of Directors, committee and stockholder meetings
